The offering is yours. You and your counsel decide the structure, write the disclosures, determine who may invest, make the filings, and choose the bank or escrow agent that receives investor funds. Sprowtt organizes the work and keeps the record; it does not do any of those things for you.

What it costs
A flat monthly subscription, with pricing sent to a confirmed email address. No activation fee, no success fee, and never a percentage of what you raise.

Raising capital in Florida?For Florida intrastate offerings — Invest Local and the Florida limited offering — use StateCF.com, a Florida OFR-registered intermediary. A company based outside Florida does not become eligible by registering to do business in Florida, filing a Florida notice, or spending proceeds in Florida: the issuer itself must meet the Florida and federal intrastate requirements, including Florida formation, a principal place of business in Florida, and primarily Florida operations and revenue.
