One subscription covers all of it. What a given room switches on depends on the exemption the issuer is using and what its counsel has cleared.

The offering file

  • A sectioned deal room — summary, use of proceeds, market, competition, products, team and board, financial projections, risks, term sheet, FAQ and the rest — with a per-section completeness state
  • A data room with per-document visibility, watermarking and a log of who opened what
  • Document versions kept, so a change is visible rather than silent
  • Pitch-deck reading and scoring, including decks exported from Gamma or Canva that store glyph numbers instead of letters
  • Material-change notices to everyone who has seen the room
  • Discussions, with the issuer able to answer in public or privately

Investors

  • Investor records with status from invited through to closed
  • Rule 506(b) relationship log — how the issuer knew each person, and when
  • Rule 506(c) accreditation as a record with a life: status, source, expiry and a letter reference
  • Rule 147A residency method on file before an investor may indicate
  • Indications, subscriptions and the issuer's own cancellation window
  • Subscription packet assembly, signature, countersignature and a dated closing binder
  • Investor emails and campaigns, by segment

The notice on the issuer's own site

  • Script, iframe and CNAME publishing, with no FTP, cPanel or server privileges
  • Room-type gates enforced server-side — a Rule 506(b) card will not render publicly
  • Legends carried on the card and kept in sync with the workspace
  • A render log: which host asked for the card, when, and whether a token was used

Meetings

  • Scheduled live presentations and one-to-one meetings inside the room
  • Cloud recording, with the recording kept against the offering file
  • Replay for the people who attended, at any time afterwards
  • Attendance and request history, so the issuer can see who asked and who came

What the room tells the issuer

  • Sections opened and dwelt on, documents downloaded, how far into a video people reached, and where they left
  • UTM capture joined through to the indication, so a channel can be judged on outcomes rather than clicks
  • A readiness checklist naming what is incomplete, for the issuer
  • The weighted score itself stays with the operator, not on the issuer's screen

Counsel

  • Every issuer workspace on the firm's seat, in one queue
  • Clear or block a section, a document or a public notice — and a block actually stops publication
  • Shared templates across the firm's clients
  • Audit export and a per-offering compliance binder
  • Associate seat invitations, and API keys and webhooks for the firm's own systems
