State offering workflows
Workflow support where state rules apply
Rule 147A intrastate files, state notice-filing trackers, and pointers to the right place when a state-registered intermediary is required.
In this software
- Rule 147A rooms that keep a residency method on file before a person may indicate interest
- Filing trackers for state notice filings alongside federal Form D, with dates derived from the first sale
- Legends and room settings for the exemption counsel has chosen
- Prepared packets built from what is already in the workspace — the issuer or its counsel files them
When a registered intermediary is required
- Florida intrastate offerings
- Invest Local and the Florida limited offering run through StateCF.com, a Florida OFR-registered intermediary. Eligibility depends on the issuer itself — Florida formation, a Florida principal place of business, and primarily Florida operations and revenue. Registering to do business, filing a notice or spending proceeds in Florida is not enough, and StateCF cannot promise eligibility.
- Federal crowdfunding
- Regulation Crowdfunding requires a registered funding portal — see Sprowtt CF, a separate FINRA-member portal.
