Sprowtt — Growing Business in America

Room · In-state sales

Rule 147A intrastate room

Offers may be seen out of state; sales may only be made to residents of the issuer's state. The workspace records which residency method the issuer relied on for each investor. It does not certify residency.

What this room does

  • Residency method on file per investor, before they can indicate
  • Driver licence or state ID, voter registration, resident tax return, utility or homestead record, or a signed representation with no contradicting facts
  • Method and date only — no scan stored, no verification service run, no certification given
  • In-state audience check on any connected ad account
  • Section 517.0611 is the issuer's own OFR notice; section 517.0612 Invest Local is StateCF, not this site

What it does not do

Sprowtt does not decide whether this exemption is available to the issuer, approve the offering materials, decide whether an investor is suitable, verify legal compliance, recommend the investment, negotiate the transaction, or guarantee an outcome. Completing a step in this room is not SEC approval of an offering, and is not a substitute for your own securities counsel.
