Rule 506(b) invite room
A private room for an offering that may not be generally solicited. Access is by invitation, the relationship log records how each person was known to the issuer before the offer, and the room's card will not render on a public page.
What this room does
- Invitation tokens, minted per person and revocable
- Relationship log — how the issuer knew each person, and when
- Up to 35 non-accredited purchasers tracked against the room
- The tombstone will not render publicly, with or without a token in the page
- Counsel can hold the room closed until the file is complete
What it does not do
Sprowtt does not decide whether this exemption is available to the issuer, approve the offering materials, decide whether an investor is suitable, verify legal compliance, recommend the investment, negotiate the transaction, or guarantee an outcome. Completing a step in this room is not SEC approval of an offering, and is not a substitute for your own securities counsel.
